Terms of Service

The agreement between you and Study Panda Pro.

1. Acceptance of Terms

By downloading, installing, or using Study Panda Pro ("the App," "we," "our," or "us"), you ("you," "the user") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

We reserve the right to update these Terms at any time. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated through in-app notifications or update notes.


2. Description of Service

Study Panda Pro is a mobile academic planner for college and university students. The App provides:

  • Course schedule management
  • Homework and assignment tracking with deadline management
  • Automated study plan generation and workload visualization
  • Study timer with focus mode and break prompts
  • Activity and lifestyle logging
  • Classmate directory and contact sharing
  • Analytics and progress insights
  • Optional integrations with third-party services (Google Drive, OneDrive, iCloud, and Google Calendar)

The App operates on a local-first architecture — your academic data is stored on your device. You may optionally create an account to back up and restore your data and to manage a premium subscription. We do not store your academic data on our servers — it stays on your device, and any backup you create is saved to your own personal cloud (Google Drive, OneDrive, or iCloud) as an end-to-end-encrypted file we cannot read. 3. Eligibility

Study Panda Pro is intended for college and university students. You must be at least 16 years of age to use the App, and by using it you represent that you are 16 or older.

If you are 16 or 17 — a minor under the age of majority in your jurisdiction (18 in most of the United States and Canada; 19 in some Canadian provinces) — you may use the App only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

We do not knowingly collect personal information from children under 13, and the App is not directed to children under 16. See our Privacy Policy for details.


4. User Accounts

4.1 Local Use (No Account Required)

The App works fully without an account: all data is stored locally on your device, and App lock (PIN and biometric authentication) is optional and managed entirely on-device.

4.2 Optional Accounts

You may optionally create an account using your email address (and, optionally, a phone number for recovery). An account is used for sign-up, authentication, account recovery, managing a premium subscription, and enabling backup and restore of the data you save to your own personal cloud. We do not store your academic data on our servers — it stays on your device, and any backup you create is saved to your own cloud (Google Drive, OneDrive, or iCloud) as an end-to-end-encrypted file we cannot read. When you use an account:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us promptly of any unauthorized use of your account

4.3 Inactive Accounts

To minimize the data we hold, an account that remains inactive for more than twelve (12) consecutive months will be automatically deleted after we send advance notice to your account email. Deletion removes your account identifiers (email and optional phone) from our servers. It does not affect data stored locally on your device or backups in your own personal cloud — those remain under your control. You may also delete your account at any time — see our Privacy Policy and the in-app account deletion option.


5. User Responsibilities

You agree to:

  • Provide accurate information — data you enter (course schedules, due dates, estimated hours) affects the quality of study plans and workload calculations. Inaccurate input produces inaccurate output.
  • Maintain device security — since your data is stored locally, your device's security is your data's security. We recommend enabling the App's PIN or biometric lock feature.
  • Protect integration credentials — if you connect third-party services (such as your cloud storage or calendar account), you are responsible for the security of those credentials.
  • Use the App lawfully — do not use the App to facilitate academic dishonesty, harassment, or any illegal activity.
  • Respect others' privacy — the Classmates directory stores contact information you enter about other people. Ensure you have their consent before entering their personal information.
  • Back up your data — while the App provides backup and export features, you are responsible for maintaining copies of your data. We are not liable for data loss resulting from device failure, App uninstallation, or operating system issues.

You also agree not to:

  • Use bots, scrapers, or other automated means to access, harvest, or interfere with the App or any data within it
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the App, our servers, or any related systems or networks
  • Upload or transmit viruses, malware, or any other malicious or harmful code through the App
  • Use the App to harass, abuse, stalk, defame, threaten, or otherwise harm another person
  • Use the App to facilitate academic dishonesty, fraud, or any unlawful activity
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to circumvent, disable, or interfere with security-related features of the App

6. Intellectual Property

6.1 App Ownership

The App, including its code, design, user interface, icons, documentation, and all associated intellectual property, is owned by the developer and protected by copyright and other intellectual property laws. These Terms do not grant you any ownership rights in the App.

6.2 Your Content

You retain ownership of all data you enter into the App (courses, assignments, notes, activity logs, classmate information, attachments). We do not claim any intellectual property rights over your content.

6.3 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on your personal devices for its intended purpose (academic planning and personal organization).

You may not:

  • Reverse engineer, decompile, or disassemble the App
  • Modify, adapt, or create derivative works based on the App
  • Distribute, sublicense, lease, or lend the App to third parties
  • Use the App for any commercial purpose unrelated to your personal academic planning
  • Remove or alter any copyright notices or proprietary markings

6.4 Feedback and Submissions

If you send us feedback, suggestions, bug reports, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, including to operate, develop, and improve the App, without any obligation or compensation to you. Feedback is provided voluntarily and is not your confidential information.


7. Freemium Model

7.1 Free Tier

The App's core features are available at no cost: entering and tracking your study and homework sessions, workload tracking and visualization, the study timer with focus mode, activity logging, the classmates directory, and an analytics overview.

7.2 Premium Tier

A premium subscription unlocks advanced and cosmetic features. Premium does gate certain academic features — specifically the Intelligent Study Planner — a drag-and-drop tool for arranging study blocks across your week that adapts as it learns your study habits — the Daily Briefing (a rundown of the day's classes, activities, and study sessions, plus a snapshot of tomorrow), Weekly Reports (a downloadable PDF of the previous week's activities and progress to share or keep), and Insights (advanced analytics beyond the free overview), along with cosmetic options: premium avatar fonts, premium gradient themes, and custom theme creation. The free features listed in 7.1 remain free.

7.3 Pricing and Billing

Premium subscription pricing and billing terms will be governed by the applicable app store (Google Play Store or Apple App Store). Refund policies are subject to the respective store's terms.


8. Third-Party Services

8.1 Integrations

The App supports optional integrations with third-party services (Google Drive, OneDrive, iCloud, Google Calendar, and others). These integrations:

  • Are entirely user-initiated — no data is shared with third parties unless you explicitly configure the integration
  • Use your own credentials (OAuth) — we do not broker access
  • Are governed by the respective third-party's terms of service and privacy policies
  • Can be disconnected at any time through the App's settings

8.2 No Endorsement

Integration support does not imply endorsement of, affiliation with, or sponsorship by any third-party service. We are not responsible for the availability, accuracy, or security of third-party services.

8.3 Third-Party Liability

We are not liable for any loss or damage arising from your use of third-party integrations, including but not limited to data loss, service outages, or unauthorized access resulting from compromised third-party credentials.


9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Specifically, we do not warrant that:

  • The App will meet your specific academic requirements
  • Study plans generated by the App will result in academic success
  • Workload calculations, pacing indicators, or time estimates will be accurate for your personal study habits
  • The App will be uninterrupted, error-free, or free of harmful components
  • Data stored locally will survive device failure, OS updates, or App updates

The App is an organizational tool, not an academic advisor. Study plans, pacing indicators, and workload visualizations are mathematical calculations based on user-provided inputs. They do not constitute academic advice, tutoring, or counseling. Academic decisions remain your responsibility.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER, ITS AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or data corruption
  • Academic consequences (missed deadlines, incorrect scheduling, grade impacts)
  • Loss of use or inability to access the App
  • Unauthorized access to your data resulting from device compromise
  • Any damages resulting from third-party integration failures

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY CANADIAN DOLLARS (CAD $50.00), WHICHEVER IS GREATER.


11. Indemnification

You agree to indemnify, defend, and hold harmless the developer and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any third party's rights, including privacy rights of classmates whose information you enter into the App
  • Content you enter into the App

12. Termination

12.1 By You

You may stop using the App at any time by uninstalling it. Uninstallation removes all locally stored data. Exported backups and data shared with third-party integrations remain under your control.

12.2 By Us

We reserve the right to terminate or suspend access to the App (or future cloud services) if you violate these Terms. In the event of termination, we will make reasonable efforts to allow you to export your data.

12.3 Survival

Sections 6 (Intellectual Property), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive termination of these Terms.


13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or the App shall be resolved through:

  1. Informal negotiation — contact us at the email below to attempt to resolve the dispute in good faith.
  2. Binding arbitration — if informal resolution fails, the dispute shall be finally resolved by binding arbitration seated in the Province of Alberta, administered under the Arbitration Rules of the ADR Institute of Canada, Inc. (ADRIC) and governed by Alberta's Arbitration Act (RSA 2000, c. A-43).

To the extent permitted by applicable law, you agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this Section prevents either party from bringing a claim in the Court of King's Bench of Alberta (or, where applicable, an Alberta small claims court) where arbitration is unavailable or unenforceable.


14. Electronic Communications

By using the App or creating an account, you consent to receive communications from us electronically — including notices, agreements, disclosures, and other information — through in-app messages, push notifications, or email to the address associated with your account. You agree that all electronic communications we provide satisfy any legal requirement that such communications be in writing. You may withdraw consent to receive non-essential communications at any time; however, consent to essential service and legal notices is required to use account-based features.


15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.


16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the developer regarding the use of the App and supersede all prior agreements and understandings.
